Authorized Retailer

• Yoga Sandals® products must be sold only by authorized retailers.
• Products may only be sold through locations, venues, and sales channels approved by Yoga Sandals®, Inc.
• Internet sales require prior written approval.
• Additional store locations require prior approval.
• Yoga Sandals® products must be sold by an authorized retailer for the product warranty to remain valid.
• All Yoga Sandals® trademarks, logos, patents, photography, and intellectual property remain the sole property of Yoga Sandals®, Inc.
• Prior written consent is required before using Yoga Sandals® intellectual property.

Resale Policy

Authorized retailers may not:

• Sell Yoga Sandals® products to another authorized or unauthorized retailer without prior written approval.
• Export Yoga Sandals® products without prior written approval.
• Sell or advertise Yoga Sandals® products on third-party marketplaces, including Amazon, eBay, Walmart Marketplace, Etsy, or similar platforms, without prior written approval.

Unauthorized sales or distribution may result in suspension or termination of authorized retailer status and may subject the retailer to liability for resulting damages.

Retailer Approval

Yoga Sandals®, Inc. supplies products only to retailers whose locations, business practices, appearance, and operations are consistent with the quality and reputation of the Yoga Sandals® brand.

Yoga Sandals®, Inc. reserves the right, in its sole discretion, to approve, deny, suspend, or terminate any retailer account.

Opening Orders

• Minimum opening order: $300.
• New retailers must complete this application and agree to these terms before approval.

Minimum Advertised Price Policy

Authorized retailers agree to follow the Yoga Sandals® Minimum Advertised Price Policy.

• Discounts may not exceed 10% to 20% below MSRP.
• Promotional pricing is limited to two promotions during any 12-month period.
• Each promotion may not exceed 10 consecutive days.
• All promotions require prior approval from Yoga Sandals®, Inc.
• Except for approved promotions, retailers may not advertise or offer Yoga Sandals® products below MSRP.

Payment Terms

• Accepted credit cards include Visa, Mastercard, Discover, and American Express.
• Yoga Sandals®, Inc. may charge an authorized card on file for amounts due or overdue.
• Returned checks are subject to a $50 fee and must be replaced with certified funds.

Shipping and Backorders

• Standard shipping within the contiguous United States is generally UPS Ground unless otherwise arranged.
• Shipping charges are billed prepaid unless otherwise specified.

Returns, Claims and Cancellations

• Shipping discrepancies, shortages, and damage claims must be reported within 5 days of receipt.
• Claims submitted after 5 days may be considered invalid.
• Cancellation requests must be received before the order ships.
• Merchandise defect returns require a pre-approved RMA number from Yoga Sandals® Customer Service.
• Returns received without an RMA number clearly marked on the outside of the package may be refused.
• Altered merchandise will not be accepted.
• This may include merchandise with altered or added price stickers, damaged packaging, or discontinued items.

Product Warranty

Yoga Sandals® warrants its products against manufacturing defects. Normal wear, misuse, accidental damage, and abnormal wear are not covered.

Yoga Sandals®, Inc. reserves the right to inspect products before determining warranty eligibility.
